These Terms & Policies (“Terms”) govern your relationship with JL Properties Ghana Limited (“JL Properties,” “we,” “us,” or “our”), a company incorporated under the laws of the Republic of Ghana with registered office at Number 1 Lindsay Park, Achimota, Accra. By entering into a property transaction, residing within a JL Properties estate, or using our services, you agree to be bound by these Terms.
1. Property Purchase Terms
1.1 Reservation & Offer Process
All property purchases begin with a formal Expression of Interest accompanied by a non-refundable reservation fee as specified in the applicable price schedule. Upon acceptance, JL Properties will issue a formal Offer Letter outlining the property details, purchase price, payment schedule, and expected completion date. An Offer Letter does not constitute a binding contract until both parties have executed the Sale and Purchase Agreement.
1.2 Sale and Purchase Agreement
The Sale and Purchase Agreement (“SPA”) is the primary legal document governing all property transactions. It details the obligations of both the buyer and JL Properties, including but not limited to: property specifications, total consideration payable, payment milestones, completion timelines, defect liability provisions, and dispute resolution mechanisms. Buyers are strongly advised to seek independent legal counsel prior to signing.
1.3 Payment Terms
Payments must be made in accordance with the schedule outlined in the SPA. JL Properties accepts payments via bank transfer, certified cheque, or mortgage facility from an approved financial institution. All amounts are quoted in Ghana Cedis (GHS) unless otherwise stated. Late payments may attract interest charges as specified in the SPA.
1.4 Title & Transfer
Upon full payment and completion, JL Properties will facilitate the transfer of the property title (leasehold or freehold as applicable) to the buyer. Title registration shall be carried out in accordance with the Lands Commission of Ghana requirements. The buyer is responsible for stamp duty, registration fees, and any associated legal costs unless otherwise agreed.
2. Refund & Cancellation Policy
2.1 Buyer-Initiated Cancellation
If a buyer wishes to cancel a purchase after the execution of the SPA, the following applies:
- Cancellation within 14 days of SPA execution: full refund of deposits paid, less the non-refundable reservation fee and any administrative charges.
- Cancellation after 14 days but before construction commencement on the specific unit: refund of 80% of deposits paid, less the reservation fee.
- Cancellation after construction has commenced on the specific unit: refund of 60% of deposits paid, subject to deduction of costs already incurred.
- Cancellation after completion or handover: no refund; the buyer may request resale assistance from JL Properties at the prevailing market conditions.
All refund requests must be submitted in writing to info@jlpropertiesgh.com. Approved refunds are processed within 60 business days.
2.2 JL Properties-Initiated Cancellation
JL Properties reserves the right to terminate a transaction if the buyer fails to make scheduled payments after written notice and a 30-day cure period. In such cases, the refund amount will be determined in accordance with the SPA terms.
3. Defects Liability & Warranty
JL Properties provides a defects liability period of twelve (12) months from the date of handover for all new-build properties. During this period, structural and material defects attributable to construction workmanship will be rectified at no cost to the buyer. This warranty does not cover defects arising from misuse, unauthorized modifications, general wear and tear, or force majeure events.
Defect reports must be submitted in writing with photographic evidence. JL Properties will acknowledge all reports within five (5) business days and schedule inspection and remediation within a reasonable timeframe.
4. Estate Management & Community Living
4.1 Estate Management Services
All JL Properties estates benefit from professional estate management services covering security, landscaping, waste management, communal facility maintenance, and utilities coordination. Estate management is administered either by JL Properties’ in-house team or an appointed third-party management company.
4.2 Service Charges
Residents are required to pay monthly or quarterly estate management service charges as determined by the estate management committee. Service charges cover security personnel, common area maintenance, street lighting, waste collection, and other shared services. Charges are reviewed annually and communicated to all residents at least 30 days before any adjustment takes effect.
4.3 Community Rules & Regulations
All residents and occupants must adhere to the community rules and regulations established for each estate. These typically address matters such as noise levels, pet ownership, external modifications to properties, parking, landscaping of individual plots, and use of communal facilities. Violations may result in fines or other enforcement actions as outlined in the Estate Management Rules.
4.4 Architectural Approvals
Any external modifications, extensions, or alterations to properties within JL Properties estates must receive prior written approval from the estate management office. This ensures uniformity of design standards and compliance with building codes and estate covenants.
5. Fair Housing Policy
JL Properties is committed to the principles of fair housing and equal opportunity. We do not discriminate in the sale, rental, financing, or provision of services on the basis of race, color, religion, sex, national origin, disability, familial status, age, ethnicity, or any other characteristic protected under the laws of the Republic of Ghana.

6. Environmental & Sustainability Policy
JL Properties is committed to environmentally responsible development practices. Our sustainability commitments include:
- Implementing sustainable construction methods and sourcing materials responsibly where feasible.
- Proper management of construction waste, including recycling and responsible disposal.
- Preservation and enhancement of green spaces, trees, and natural landscape features within our estates.
- Incorporating energy-efficient design elements, including proper ventilation, natural lighting, and water conservation features.
- Compliance with all applicable environmental regulations and standards set by the Environmental Protection Agency of Ghana.
7. Health & Safety
JL Properties maintains strict health and safety standards across all active construction sites and completed estates. All construction activities comply with relevant Ghanaian safety regulations. Authorized visitors to construction sites must adhere to all safety protocols, including the use of personal protective equipment (PPE) provided by JL Properties.
8. Dispute Resolution
In the event of any dispute arising from or relating to these Terms or any property transaction, the parties shall first attempt to resolve the matter amicably through negotiation. If a resolution cannot be reached within thirty (30) days, the dispute shall be referred to mediation under the rules of the Ghana Arbitration Centre. If mediation fails, the dispute shall be submitted to binding arbitration in Accra, Ghana, in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798).
9. Limitation of Liability
To the maximum extent permitted by law, JL Properties shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services or properties. JL Properties’ total liability shall not exceed the total consideration paid by the buyer under the applicable SPA. Nothing in these Terms excludes or limits liability for fraud, death, or personal injury caused by negligence.
10. Amendments
JL Properties reserves the right to modify these Terms at any time. Material changes will be communicated to affected parties via email or posted on our website. Continued use of our services or residence within our estates after such changes constitutes acceptance of the revised Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any legal actions or proceedings shall be brought exclusively in the courts of competent jurisdiction in Accra, Ghana.
